Welcome to Hashgraph Online DAO LLC ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our web pages located at https://hol.org operated by Hashgraph Online DAO LLC, a company organized under the laws of the Republic of the Marshall Islands.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Please read it here: https://hol.org/points/legal/privacy

Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood the Agreements, and agree to be bound by them.

If you do not agree with (or cannot comply with) the Agreements, then you may not use the Service, but please let us know by emailing support@hashgraphonline.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use the Service.

2. Web3 Services and Blockchain IntegrationDirect link to 2. Web3 Services and Blockchain Integration​

Our Service integrates with the Hedera Hashgraph network and other blockchain technologies. By using our Service, you acknowledge and agree to the following:

Wallet Connection: You may connect your Hedera-compatible wallet (including HashPack and other Hedera Wallet Connect wallets) at your own risk. Wallet connections are provided "as-is" without warranties of any kind.

Blockchain Transactions: ALL BLOCKCHAIN TRANSACTIONS ARE FINAL, IRREVERSIBLE, AND IMMUTABLE. We have NO ABILITY to reverse, cancel, modify, or recover any transaction once broadcast to the Hedera network, regardless of user error, fraud, or technical issues.

Gas Fees and Network Costs: You are solely responsible for all transaction fees, gas fees, network fees, and any other costs associated with blockchain interactions. Fees are non-refundable.

Wallet Security: You bear ABSOLUTE RESPONSIBILITY for the security of your wallet, private keys, seed phrases, passwords, and authentication methods. WE NEVER HAVE ACCESS TO YOUR PRIVATE KEYS and cannot recover lost credentials or assets.

Network Risks: You acknowledge and assume all risks of blockchain technology, including network congestion, forks, consensus failures, validator issues, smart contract bugs, protocol changes, technical failures, and loss of access.

Regulatory Compliance: You are solely responsible for compliance with all applicable laws, regulations, and tax obligations in your jurisdiction regarding blockchain activities and digital assets.

Third-Party Dependencies: Our Service relies on third-party blockchain infrastructure, wallet providers, and protocols over which we have no control and for which we disclaim all responsibility.

Export Controls: You represent that you are not located in, or a resident of, any country subject to international sanctions. You will not use our Service if prohibited by applicable export control or sanctions laws.

Anti-Money Laundering: You agree not to use our Service for money laundering, terrorist financing, or any other illicit financial activities. We reserve the right to monitor transactions for suspicious activity.

3. Hashgraph Online DAO LLC Points ProgramDirect link to 3. Hashgraph Online DAO LLC Points Program​

The Hashgraph Online DAO LLC Points ("Points") program is a rewards system with the following terms:

No Monetary Value: Points have no cash value, monetary worth, or exchange value whatsoever. Points cannot be sold, transferred, gifted, inherited, assigned, pledged, or exchanged for money, cryptocurrency, digital assets, goods, services, or anything of value.

Non-Transferable: Points are non-transferable digital rewards tied exclusively to your account and cannot be transferred to other users, accounts, wallets, or platforms.

Not Securities: Points are not securities, investment contracts, financial instruments, commodities, or investment opportunities. Points do not represent ownership, equity, debt, or any claim in the Company.

Program Changes: We reserve the absolute right to modify, suspend, terminate, or discontinue the Points program at any time, with or without notice, without compensation or liability.

Points Expiration: Points may expire, be reduced, or be eliminated after periods of inactivity, account violations, or at our sole discretion.

Earning Points: Points are earned through legitimate activities and interactions on the platform as tracked by various protocols and standards like HCS-1, HCS-2, HCS-20 and so forth.

Blockchain Storage: Points balances and transactions are permanently recorded on the Hedera blockchain through HCS-20 protocol. Once recorded, this data becomes IMMUTABLE and CANNOT be deleted, modified, or reversed.

Public Visibility: Points data stored via HCS-20 on Hedera is publicly visible and permanently accessible to anyone with access to the blockchain.

No Property Rights: Points do not constitute property, assets, or rights of any kind. You have no ownership, property rights, legal claims, or entitlements to any Points.

Tax Compliance: You are solely responsible for determining and paying any taxes that may apply to your Points activities in your jurisdiction.

4. CommunicationsDirect link to 4. Communications​

By using our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications by following the unsubscribe link or by emailing support@hashgraphonline.com.

5. PurchasesDirect link to 5. Purchases​

If you wish to purchase any product or service made available through Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including payment information and billing address.

You represent and warrant that: (i) you have the legal right to use any payment method(s) in connection with any Purchase; and (ii) the information you supply to us is true, correct and complete.

We may employ third-party services for payment processing. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price, error in your order, or if fraud or an unauthorized transaction is suspected.

6. Contests, Sweepstakes and PromotionsDirect link to 6. Contests, Sweepstakes and Promotions​

Any contests, sweepstakes or other promotions (collectively, "Promotions") made available through Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy.

7. Fee ChangesDirect link to 7. Fee Changes​

Hashgraph Online DAO LLC, in its sole discretion and at any time, may modify subscription fees. Any fee change will become effective at the end of the then-current billing cycle.

We will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your subscription before such change becomes effective.

Your continued use of Service after fee changes come into effect constitutes your agreement to pay the modified fee amount.

Except when required by law, paid subscription fees are non-refundable.

9. Content; Ownership and LicenseDirect link to 9. Content; Ownership and License​

For purposes of these Terms:

  • "Company Content" means all content and materials made available by us through the Service, including but not limited to software, source code, smart contracts we deploy, text, graphics, logos, trademarks, audio, video, designs, interfaces, layouts, and the overall “look and feel” of the Service.
  • "User Content" has the meaning set forth in Section 10 below.

Except for User Content, the Service and all Company Content are and will remain the exclusive property of Hashgraph Online DAO LLC and its licensors and are protected by copyright, trademark, and other applicable laws.

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Company Content solely in connection with your permitted use of the Service and solely for your personal, non-commercial purposes (unless we expressly authorize broader use in writing).

You may not:

  • Distribute, modify, transmit, reuse, download, repost, copy, publicly display, or exploit any Company Content, in whole or in part, for commercial purposes or personal gain;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or in the Service or Company Content; or
  • Use any data mining, robots, or similar data gathering or extraction methods on the Service.

Nothing in these Terms transfers any ownership rights in the Service or Company Content to you. All rights not expressly granted to you are reserved by Hashgraph Online DAO LLC and its licensors.

Your rights and obligations with respect to User Content are governed by Section 10 below.

10. User-Generated Content, AI Agent Communications, and On-Chain DataDirect link to 10. User-Generated Content, AI Agent Communications, and On-Chain Data​

10.1 DefinitionsDirect link to 10.1 Definitions​

For purposes of these Terms:

  • "User Content" means any content, data, information, text, images, media, code, smart contract logic, metadata, transaction proposals, messages, profile information, or other materials that you or any AI agents acting on your behalf submit, upload, post, transmit, sign, or otherwise make available through the Service or via protocols integrated with the Service (including, without limitation, HCS‑10, HCS‑11, HCS‑20 and similar standards), whether stored on our infrastructure or on public or decentralized networks such as the Hedera Hashgraph network.
  • "On-Chain Data" means any User Content that is submitted to, stored on, or referenced by a blockchain or other distributed ledger (including but not limited to Hedera Hashgraph) through or in connection with your use of the Service, including HCS‑10, HCS‑11, and HCS‑20 messages, transactions, and related metadata.

You are solely responsible for your User Content and On‑Chain Data and for any consequences of submitting or publishing it via the Service.

10.2 License You Grant to UsDirect link to 10.2 License You Grant to Us​

By submitting, posting, or otherwise making User Content available through the Service or via integrated protocols, you grant Hashgraph Online DAO LLC a non-exclusive, worldwide, royalty-free, fully paid, sublicensable and transferable license to:

  • host, cache, store, reproduce, index, analyze, modify (for formatting, security, and technical purposes), adapt, translate, and create derivative works from your User Content;
  • display, perform, and otherwise make your User Content available to you and to other users of the Service in accordance with your settings and the functionality of the Service;
  • use your User Content to operate, maintain, secure, and improve the Service, to develop new features and services, and to support analytics and machine learning models; and
  • use your User Content (in aggregated, anonymized, or de‑identified form where appropriate) for research, statistical, and marketing purposes in connection with the Service.

This license continues for as long as your User Content is available on or through the Service. Where User Content is also On‑Chain Data, you acknowledge that we cannot delete or alter the underlying On‑Chain Data, and our ability to “remove” such content is limited to hiding, de‑prioritizing, or ceasing to display it in our own interfaces.

You acknowledge that User Content is not confidential and that we have no obligation to treat it as confidential, except as required by applicable law or our Privacy Policy.

This license is in addition to any rights you grant us with respect to feedback under Section 17 (Error Reporting and Feedback).

10.3 Your Responsibilities and RepresentationsDirect link to 10.3 Your Responsibilities and Representations​

You represent and warrant that:

  1. Ownership and Rights

    • You are the sole and exclusive owner of all User Content you submit, or you have obtained all necessary rights, licenses, consents, and permissions to grant the licenses and rights described in these Terms.
    • Your User Content, and our use of it as permitted by these Terms, will not infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or other rights of any third party.

  2. No Prohibited Content

    You will not submit any User Content that:

    • is unlawful, fraudulent, deceptive, defamatory, libelous, obscene, pornographic, harassing, hateful, discriminatory, or otherwise objectionable;
    • exploits, harms, or attempts to exploit or harm minors in any way;
    • contains viruses, malware, malicious code, or any other content intended to damage or interfere with systems, data, or security;
    • includes personal data or sensitive information of others without their explicit consent (e.g., financial information, government ID numbers, health information);
    • violates any applicable law, regulation, or third‑party rights; or
    • is designed to manipulate or artificially inflate the Points program, transaction volumes, or any other metrics (including via bots or sybil attacks).

  3. Accuracy and Compliance

    • You are solely responsible for the accuracy, completeness, and legality of your User Content.
    • You are solely responsible for complying with all applicable laws, regulations, and industry rules in connection with your User Content and your use of the Service, including any disclosure, record‑keeping, or tax obligations related to On‑Chain Data and digital assets.

10.4 Public and Immutable Nature of On-Chain DataDirect link to 10.4 Public and Immutable Nature of On-Chain Data​

You acknowledge and agree that:

  • On-Chain Data is public and permanent. Any data recorded on the Hedera Hashgraph network or other blockchain networks through your use of the Service (including HCS‑10, HCS‑11, and HCS‑20 messages, transactions, Points balances, and related metadata) is publicly visible, immutable, and permanently accessible to anyone with access to the relevant network.
  • We cannot edit or delete On-Chain Data. Once content is submitted to the blockchain, we cannot remove, reverse, or modify that data, even if you later request deletion, correction, or removal.
  • Use caution when submitting data. You are solely responsible for ensuring that your User Content and On‑Chain Data do not include information that you are not comfortable making public and permanent, including sensitive personal data, trade secrets, or confidential information.

To the extent permitted by law, you waive any right to require us to delete or modify User Content that constitutes On‑Chain Data and acknowledge that our obligations under data protection or privacy laws may be limited by the technical and architectural characteristics of the blockchain networks involved.

10.5 AI-Generated Content and AI AgentsDirect link to 10.5 AI-Generated Content and AI Agents​

Our Service utilizes the HCS‑10 protocol and other tooling that enables AI agents and automated systems to generate and share content, messages, and transaction proposals.

You acknowledge and agree that:

  • Third-Party and AI Content. All user‑generated content, AI agent messages, transaction proposals, and communications transmitted via HCS‑10 or similar protocols are created by third parties (including AI agents operating on behalf of users) and not by Hashgraph Online DAO LLC. We do not control, endorse, or assume responsibility for such content.
  • No Professional Advice. AI‑generated content, including recommendations and transaction proposals, may be inaccurate, incomplete, outdated, or inappropriate and does not constitute legal, financial, investment, tax, or other professional advice. You should not rely on any AI‑generated content without conducting your own independent verification.
  • "As Is" AI Content. AI‑generated content is provided “AS IS” without warranties of any kind and is subject to the disclaimers and limitations of liability in these Terms, including Sections 19 and 23.
  • Your Responsibility for AI Agents. You are responsible for configuring, supervising, and reviewing the actions and outputs of any AI agents you use in connection with the Service. You will treat any actions taken by AI agents linked to your account or wallet as actions taken by you.

Transaction Proposals. You bear sole responsibility for understanding and verifying any proposed transactions before you approve, sign, or broadcast them, including verifying recipient addresses, amounts, parameters, and compliance with applicable law. You assume all risks and consequences of approved or broadcast transactions.

10.6 Content Moderation, Takedown, and EnforcementDirect link to 10.6 Content Moderation, Takedown, and Enforcement​

We do not assume an obligation to monitor User Content, but we reserve the right (without being required) to:

  • monitor, review, filter, flag, or moderate User Content on or through the Service;
  • refuse to display, remove, restrict, or disable access to any User Content (including On‑Chain Data from our interfaces) that we determine, in our sole discretion, may violate these Terms, applicable law, or the rights of any person;
  • suspend or terminate your account or restrict your access to the Service pursuant to Section 20 (Termination); and
  • report and/or cooperate with law enforcement, regulators, or other authorities regarding User Content or On‑Chain Data that we believe may be illegal or harmful.

If you believe that any content on the Service violates these Terms or your rights, you may notify us at support@hashgraphonline.com. Our ability to implement remedial actions may be limited where the content is stored on immutable or third‑party infrastructure (including public blockchains), but we may take reasonable steps within our control, such as hiding or de‑prioritizing content in our interfaces.

10.7 Profile Content (HCS-11)Direct link to 10.7 Profile Content (HCS-11)​

If you create or publish profile metadata using the HCS‑11 standard (including data surfaced on your profile), you acknowledge that:

  • such profile data is User Content and may be stored on public or immutable infrastructure;
  • it may be viewable and indexable by others and associated with your account or wallet address;
  • you are solely responsible for the accuracy, legality, and non‑infringing nature of that content and for avoiding the inclusion of sensitive or personal data that you do not wish to make public.

You grant us a non-exclusive, worldwide, royalty‑free license to display, cache, index, and otherwise use your HCS‑11 profile content as necessary to operate, provide, and improve the Service and to interoperate with relevant decentralized networks and protocols. We disclaim responsibility for any loss, misuse, redistribution, or exposure of HCS‑11 profile content arising from its publication on decentralized or third‑party networks beyond our control.

10.8 Indemnification for User ContentDirect link to 10.8 Indemnification for User Content​

In addition to your obligations under Section 25 (Indemnification), you agree to indemnify, defend, and hold harmless Hashgraph Online DAO LLC, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • your User Content or On‑Chain Data;
  • your use of AI agents or reliance on AI‑generated content; or
  • your violation of these Terms or any applicable law, rule, or regulation in connection with User Content or On‑Chain Data.

You agree not to use Service:

  • In any way that violates any applicable law or regulation
  • To exploit or harm minors in any way
  • To transmit spam, chain letters, or other unsolicited communications
  • To impersonate any person or entity
  • To infringe upon the rights of others
  • To introduce viruses or other harmful code
  • To gain unauthorized access to any part of the Service
  • To manipulate or artificially inflate Points earnings
  • To reverse engineer any smart contracts or blockchain protocols we use

We may use third-party Service Providers to monitor and analyze the use of our Service, including Google Analytics. For more information on Google's privacy practices, please visit: https://policies.google.com/privacy

13. Age RequirementsDirect link to 13. Age Requirements​

Service is intended only for individuals at least eighteen (18) years old. By accessing or using the Service, you warrant and represent that you are at least eighteen (18) years of age.

14. AccountsDirect link to 14. Accounts​

When you create an account with us, you guarantee that:

  • You are above the age of 18
  • The information you provide is accurate and complete
  • You are the lawful owner of any connected wallet
  • You will maintain the confidentiality of your account credentials

We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion.

15. Intellectual PropertyDirect link to 15. Intellectual Property​

Service and its original content, features and functionality are and will remain the exclusive property of Hashgraph Online DAO LLC and its licensors. Service is protected by copyright, trademark, and other applicable laws.

We respect intellectual property rights and expect our users to do the same.

If you believe that any content available on or through the Service infringes your copyright or other intellectual property rights, please notify us at support@hashgraphonline.com with "Copyright Infringement" in the subject line and include the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the allegedly infringed right;
  • A description of the copyrighted work or other intellectual property that you claim has been infringed;
  • Identification of the material that you claim is infringing and that you request to be removed or access to which is to be disabled, including a description of where it is located on the Service;
  • Your contact information, including your name, address, telephone number, and email address;
  • A statement that you have a good‑faith belief that the use of the material in the manner complained of is not authorized by the intellectual property owner, its agent, or the law; and
  • A statement that the information in the notification is accurate and, under penalty of perjury, that you are the owner or authorized to act on behalf of the owner of the allegedly infringed right.

Upon receipt of a compliant notice, we may, in our sole discretion and where technically feasible:

  • remove or disable access to the allegedly infringing material from our Service;
  • notify the user who submitted the material; and/or
  • take other actions we deem appropriate, including account suspension or termination under Section 20 (Termination).

You acknowledge that, where material is stored as On‑Chain Data on the Hedera Hashgraph network or other immutable infrastructure, our ability to remove or disable that material is technically limited. In such cases, our response may be limited to hiding, de‑prioritizing, or ceasing to display the material in our own interfaces, while the underlying On‑Chain Data will remain visible and accessible on the relevant network.

Knowingly submitting false or misleading infringement notices may result in liability under applicable law.

17. Error Reporting and FeedbackDirect link to 17. Error Reporting and Feedback​

You may provide us with feedback at support@hashgraphonline.com. You acknowledge that we may use such feedback without obligation of confidentiality or compensation.

Our Service may contain links to third-party websites. We have no control over and assume no responsibility for third-party content, privacy policies, or practices.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

20. TerminationDirect link to 20. Termination​

We may terminate or suspend your account immediately, without prior notice, for any reason including breach of Terms. Upon termination:

  • All Points will be forfeited
  • Access to wallet features will be revoked
  • Pending transactions may not be completed

21. Dispute ResolutionDirect link to 21. Dispute Resolution​

Governing Law: These Terms shall be governed by the laws of the Republic of the Marshall Islands, without regard to conflict of law principles.

Arbitration: Any disputes shall be settled by binding arbitration under the rules of the International Chamber of Commerce (ICC), with arbitration proceedings to be held in a mutually agreed neutral venue.

Class Action Waiver: You agree to bring claims only in your individual capacity and not as part of any class action.

You acknowledge and accept all risks associated with:

  • Blockchain technology and smart contracts
  • Regulatory uncertainty
  • Wallet security
  • Points program changes
  • Network failures and technical issues

23. Limitation of LiabilityDirect link to 23. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASHGRAPH ONLINE DAO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR MAXIMUM LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT PAID BY YOU FOR THE SERVICE.

24. Force MajeureDirect link to 24. Force Majeure​

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, network failures, or government actions.

You agree to indemnify and hold harmless Hashgraph Online DAO LLC from any claims arising from your use of the Service or violation of these Terms.
